1. Acceptance of Terms

By accessing or using the Ahidaho platform (the "Platform"), operated by Ayiha Labs ("we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and Ayiha Labs, governed by the laws of the Republic of Benin and the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) uniform acts.

2. Definitions

"Buyer": Any registered user who purchases products through the Platform.

"Seller": Any registered user or business that lists and sells products through the Platform.

"Rider": Any registered delivery personnel who fulfills deliveries through the Platform.

"Platform": The Ahidaho web application and all associated services.

"COD": Cash on Delivery, a payment method where the buyer pays the rider upon receipt of goods.

"Order": A confirmed purchase request made by a Buyer through the Platform.

3. Eligibility

You must be at least 18 years old to use the Platform. By registering, you represent that you are of legal age and have the capacity to enter into binding agreements under the laws of the Republic of Benin.

We reserve the right to request identity verification at any time and to suspend accounts that fail to comply.

4. Account Registration & Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. We are not liable for losses arising from unauthorized account access where you have failed to safeguard your credentials.

5. Platform Role & Limitations

Ahidaho acts as an intermediary marketplace connecting Buyers, Sellers, and Riders. We are not a party to transactions between Buyers and Sellers. We do not own, produce, store, or inspect products listed on the Platform.

While we take reasonable steps to ensure quality, we do not guarantee the accuracy of product listings, the quality of products, or the performance of Sellers or Riders.

6. Prohibited Activities

You agree not to:

• Use the Platform for any unlawful purpose
• List counterfeit, stolen, prohibited, or dangerous products
• Manipulate prices, reviews, or ratings
• Harass, threaten, or abuse other users
• Attempt to circumvent Platform fees or payment systems
• Create multiple accounts to evade restrictions
• Use automated tools to scrape or interfere with the Platform
• Share your account credentials with third parties

7. Payments & Fees

The Platform supports Cash on Delivery (COD) and mobile money payment methods. Payment terms, fees, and commissions are specified in the relevant Seller Agreement or Rider Agreement.

All prices displayed on the Platform are in West African CFA Franc (XOF) unless otherwise stated. Sellers are responsible for setting accurate prices including any applicable taxes.

8. Limitation of Liability

To the maximum extent permitted by law, Ayiha Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

Our total liability for any claim arising from or related to the Platform shall not exceed the total fees paid by you to Ahidaho in the 12 months preceding the claim.

9. Dispute Resolution

Any dispute arising from or relating to these Terms shall first be submitted to mediation in Cotonou, Benin. If mediation fails, the dispute shall be resolved by the competent courts of Cotonou, in accordance with OHADA uniform acts and the laws of the Republic of Benin.

For disputes involving transactions, we encourage users to first contact our support team, who will attempt to facilitate a resolution between the parties.

10. Account Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any conduct that we determine to be harmful to the Platform or other users.

You may deactivate your account at any time through your account settings. Upon termination, your right to use the Platform ceases immediately. Obligations incurred prior to termination survive.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect.

Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. If you disagree with changes, you must stop using the Platform and deactivate your account.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Benin and the OHADA uniform acts. The French version of these Terms is the legally binding version.
